The company GR. Sarantis S.A. (the “Company”), pursuant to Law 3556/2007 and the provisions of the Regulation (EU) 596/2014 of the European Parliament and of the Council, announces that Mr. Kyriakos Sarantis, Chairman of the Board of Directors of the Group and Executive Member of the Board of Directors, proceeded on November 29^th of 2024 with the transfer of 2,490,402 common registered shares of the Company at the average price of 10.72 euro per share to the company SKYLUX S.A., a closely associated legal entity with Mr. Kyriakos Sarantis.

Announcement of significant change to the voting rights according to Law 3556/2007

GR. SARANTIS S.A. (“the Company”), pursuant to the provisions of Law 3556/2007 and following a notification received from FMR LLC on August 8 th, 2025, announces that, as a result of a disposal of voting rights, the total percentage of voting rights indirectly held by FMR LLC through controlled undertakings in the Company, fell below the 10% threshold on August 7 th , 2025, reaching 9.
