Appointment of New Head of Internal Audit and New Compliance and Risk Manager

The company “GR. SARANTIS S.A.” announces that its Board of Directors, during its meeting on May 13^th, 2024, following a relevant proposal by the Audit Committee of the company, appointed Mrs. Zafeiria Papavasilopoulou as Head of Internal Audit, replacing Mr. George Karatzas. Mrs. Papavasilopoulou assumed responsibilities on 23.05.2024.

Mrs. Papavasilopoulou fulfils the criteria and conditions of the respective provisions of article 15 of law 4706/2020, and specifically, she is full-time and exclusively employed, she has personal and operational independence, she is not a Member of the Board of Directors or a member with voting rights in standing committees of the company, she has no close ties with anyone who holds any of the above qualities in the company or a Group company and she possesses the appropriate knowledge and relevant professional experience to assume the above position.

In particular, with extensive experience in Internal Controls in the FMCG sector, Mrs. Papavasilopoulou holds a bachelor’s degree in Business Administration from the Athens University of Economics and Business and an Executive MBA from the University of Piraeus. She has been working in the Internal Control Department in Coca-Cola HBC for nine years where she was holding the position of Internal Control Processes Manager the last four years. She is a Certified Internal Control Auditor (CICA) from the Institute for Internal Controls.

Additionally, the company announces that Mr. George Karatzas assumed responsibilities as Compliance and Risk Manager as of 23.05.2024.
