The Board of Directors of the Company "GR. SARANTIS S.A.” (hereinafter the "Company") announces that at its meeting of September 28, 2022, has granted a special license pursuant to article 99 of Law 4548/2018 for entering into a transaction with related parties, i.e. a lease agreement regarding real estate owned by the company under the name "LENIDI S.A.". The latter is a related party to the Company, given that the shareholders of its sole shareholder, namely Mr. Kyriakos, Grigorios and Aikaterini Sarantis, are the main shareholders and members of the Company's Board of Directors.
The property, which is to be leased, is located in Marousi Attica, on Amarousiou Chalandriou street no. 28. The lease will be concluded for an initial monthly rent of forty six thousand five hundred euros (€46,500.00) plus VAT, while an annual increase in the initial rent equal to the amount of the annual increase in the Consumer Price Index for the previous twelve-month plus one unit is also agreed, which, however, cannot cumulatively exceed six percent (6%).
The aforementioned decision of the Board of Directors of the Company was taken based on the Valuation Report dated 23/09/2022 issued by the Certified Appraiser of the Ministry of Finance (Reg. No. 494), Ms. Maria Sotiropoulou of the firm "SPS Sotiropoulou Property Solutions", which is an independent appraiser company registered in the Registry of Certified Appraisers - Legal Entities of the Ministry of Finance with Reg. No. 70, pursuant to which it was determined that the transaction is fair and reasonable for the Company and the shareholders who are not a related party, including the minority shareholders of the Company. The Company has carried out all actions and publications with the General Commercial Register according to the applicable Law 4548/2018.
